Terms and Conditions

Please carefully read the Terms and Conditions of FOODFLEXY HARVEST JUNCTION LTD (herein referred to as FOODFLEXY), owners of FOODFLEXY APP Services contained herein. By clicking "AGREED" or using the Services, you agree to these Terms and Conditions including any other guideline or supplemental terms of FOODFLEXY. The Terms contained herein form your entire agreement with FOODFLEXY.

FOODFLEXY has created the Terms of Service in demonstration of the commitment to the Users through transparent, easy-to-understand information regarding the use of FOODFLEXY APP Services.

The FOODFLEXY APP features include: collection of user biometrics; users virtually and physically relating with each other for real-life transactions; and features that require Users to make online personal and group requests, among others.

You will be required to register an account to use FOODFLEXY APP Services. By the terms herein, you undertake that all information and data you shall provide from the time of verification, throughout the lifetime of your account, shall be correct and accurate, including professional, social and incorporation qualifications to join any section and/or engage in any transaction.

You agree to be responsible for every activity that transpires on or through your account and undertake to protect your account by keeping your password confidential. FOODFLEXY may give you notice regarding changes to these Terms by any reasonable known means, and your continued usage of the Services will be deemed as your agreement to the Terms.

User / Subscriber

To register and use the FOODFLEXY APP Services, you must be a real and existing personality and must not be under the age of 18 years. PROVIDED that FOODFLEXY is empowered to deem any information/data/materials given at the point of verification to be accurate, true and correct and shall not be held liable for any damage or expense in consequence of any false information supplied by you.

Indemnity

You shall only post on the Services information/data/materials that are true and correct based on your knowledge and supported by credible evidence. You shall take full and total responsibility for any information/data/material posted on the Services and SHALL be held liable/responsible for any false information posted or supplied which may give rise to civil or criminal liabilities and prosecution.

Prohibition

You are prohibited from posting any third-party information/data/materials through the Service without the consent and authorisation of such third party and without acknowledging the third party as the author of such information/data/materials. You are prohibited from posting defamatory and inflammatory information/data/materials against any person, tribe and/or religion through the Services. You are prohibited from misrepresenting any information/data/materials or impersonating any person through the use of the Services. You are prohibited from posting any fraudulent, pornographic or obscene information/data/materials through the Services.

User / Subscriber Conduct

You agree not to use the Services to post information or materials that are harmful, threatening, abusive, harassing, tortuous, obscene or depict conducts that are unreasonable. You agree to follow all guidelines or policies associated with the Services and will not misuse the Services for any purpose.

Anti-Corruption and Anti-Crime Laws

You agree to comply with all applicable anti-corruption and anti-crime laws including the provisions of the Cyber Crimes Act 2015 for Nigerian users, and any other applicable laws of countries.

Ownership of Property Rights

You agree that by using the Services you do not have ownership of any intellectual or other property rights or interest in the Services. You shall not, without the express written permission of FOODFLEXY, make use of any portion of information/data/materials posted on the Services for any purpose.

FOODFLEXY treats personal information provided by a User/Subscriber as confidential. By using the Services you agree to FOODFLEXY privacy policies which enable FOODFLEXY to make use of your information in accordance with the privacy policies.

You agree that FOODFLEXY may use information supplied by you to provide Services that you have requested. Information supplied by you shall not be shared with any other person or organizations except with your consent or in compliance with the provisions of any law or regulation.

You agree that FOODFLEXY may give your information to a third party when you use third-party apps, websites or other products integrated with FOODFLEXY Services and such third-party apps or websites may collect information about your activities subject to their own terms and privacy policies.

You agree that FOODFLEXY may access, preserve and disclose information for the purpose of investigation, prevention or to take action in connection with legal process and legal requests; enforcement of the Terms; protecting the rights and property or personal safety of other users or the public, or as otherwise required by law.

You agree that when you use FOODFLEXY Services, you consent to the sharing of your information as outlined in the Privacy Policy.

FOODFLEXY does not undertake to provide you with any support for the Services unless otherwise expressly stated that such support will be so provided. Where FOODFLEXY provides any support, it is at its sole discretion and does not place any obligation on FOODFLEXY to continue to provide such support now or in future.

FOODFLEXY reserves the right to charge fees for use of or access to the Services (including any associated support), whether now or in future. However, where fees are to be charged, prior notice shall be given to Users/Subscribers.

You may discontinue the use of the Services at any time and your account will be terminated. FOODFLEXY may also, temporarily or permanently suspend or terminate your use of the Services or impose limits on or restrict your access to parts or all of the Services at any time without notice and for any reason, including but not limited to violation of these Terms or any requirement of law.

FOODFLEXY may, without notice, add or remove features, create new restrictions to the Services or temporarily or permanently suspend or terminate the Services. Where your account is terminated, all information relating to your account may be terminated.

FOODFLEXY hereby states that it does not represent, promise or warrant that the Services will be uninterrupted, timely, secure or error-free. FOODFLEXY expressly disclaims any warranties howsoever and makes no commitment, promises or warranties about the security of the Services or the reliability, quality, accuracy, availability or ability to meet your needs or achieve certain results.

You agree and understand that FOODFLEXY will not be liable for any damage, whether special, punitive or exemplary damages, arising from or in connection with these Terms or from your use of the Services. FOODFLEXY will not be responsible for any loss of profits, loss of revenues and loss of business opportunities arising from or in connection with these Terms or your use of or access to the Services howsoever.

Both parties agree to first refer any and all disputes, claims and controversies to any of the Alternative Dispute Resolution (ADR) mechanisms (that is, arbitration or mediation or conciliation) as shall be agreed by the parties and where it fails to arrive at a resolution, the parties may institute a small claim action in the relevant Court within the applicable state.

The parties by these Terms agree to waive their right to bring any claim in any Court other than small claim and agree that all disputes shall be resolved through any of the ADR mechanisms and by a small claim action in the relevant Court within jurisdiction as stated.

These Terms and the relationship between the parties, including any claim or dispute that might otherwise arise between the parties, shall be governed by the applicable laws of the Federal Republic of Nigeria, or the originating foreign country. The parties are not entitled to bring claims against one another under the laws applicable in any other jurisdiction.
